TruePrice operates as a financial analytics tool, not as an advisory or intermediary service. Specifically:

• We provide computational tools that apply valuation methodologies (DCF, relative valuation) to publicly available financial data
• We do not provide buy/sell/hold recommendations on any security
• We do not publish research reports or target prices as defined under SEBI Research Analyst regulations
• We do not manage portfolios or execute trades on behalf of users
• We do not provide personalized investment advice based on individual financial circumstances

3. SEBI (Research Analysts) Regulations, 2014 — Applicability

Under SEBI (Research Analysts) Regulations, 2014, a “research analyst” is defined as a person who provides research reports or analysis with regard to securities listed or proposed to be listed and includes recommendations with regard to buying, selling, or holding of securities.

TruePrice does not fall under this definition because:

• We provide valuation tools, not research reports or buy/sell recommendations
• Users input their own assumptions and the models generate outputs accordingly — the Platform is a calculator, not an advisor
• No stock-specific opinion, rating, or target price is published by TruePrice as a recommendation

4. SEBI (Investment Advisers) Regulations, 2013 — Applicability

Under SEBI (Investment Advisers) Regulations, 2013, an “investment adviser” means any person who for consideration provides investment advice to clients.

TruePrice does not fall under this definition because:

• We do not provide personalized investment advice or financial planning services
• The Platform does not assess individual risk profiles, financial goals, or suitability
• Users are solely responsible for their investment decisions

5. SEBI (Prohibition of Insider Trading) Regulations, 2015

TruePrice and its employees do not have access to Unpublished Price Sensitive Information (UPSI) of any listed company. All data used on the Platform is sourced from publicly available filings, annual reports, and third-party data providers. The Company maintains a code of conduct to prevent any inadvertent violation of insider trading regulations.
